The two sets are surprisingly similar on paper. When you take into account inflation, their prices are about the same. That is despite there being 101 more elements in the 2025 set, though the volume of builds is smaller in the 2025 version, with no track or barricade.

They also both include four minifigures, but the train operator of 4855 Spider-Man's Train Rescue has been switched out for Aunt May in the new model. Note the same LEGO Trains logo on the side of each subway car, as well.
The new train is much longer than the original version, though it is just as wide. This means it can fit on 4855 Spider-Man's Train Rescue's track section, though it doesn't function quite as well. Despite the differences between the two train cars, the lack of track in the new build is the most notable difference, but it is still compatible with LEGO track elements.

When it comes to the minifigures, there are quite a few differences, mostly due to how much the LEGO minifigure art style has changed over the past couple of decades, and overall, the newer minifigures are more accurate.
Doc Ock's new minifigure has the most striking differences, leaving the green coat in the past in favour of a much more accurate brown version. The two share a similar expression, at least, but the mechanical arms now use System elements rather than the Technic pieces seen in 4855 Spider-Man's Train Rescue.
Despite the differences, it's surprising to see just how similar the two sets are, with over 20 years between them, especially when it comes to the old build's price when adjusted for inflation.
